Terms of Sale and Service
Execorp SAS – headquartered at 122 rue Amelot, 75011 Paris, France, and registered in the "Tribunal des Activités Économiques de Paris" under SIREN number 944 256 536, provides services including the Exegol Suite (websites, applications, software, IDE extensions, and related products such as Exegol Workstation, Exegol Studio, Exegol MCP, and Exegol Sentinel) under the following terms.
This document constitutes both our Terms of Service and Terms of Sale, governing the use of our services as well as the purchase of subscriptions, licenses, and other related offerings.
By creating an account, subscribing, accessing, or using any part of the Exegol Suite, you agree to these Terms of Sale and Service ("Terms"). If you do not accept these Terms, you must not use the Services.
1. Acceptance of terms
By using any Exegol service (creating an account, using the dashboard, downloading software, purchasing subscriptions), you accept these Terms. Execorp may update these Terms occasionally. Updates will be posted online, and continued use after updates means acceptance.

1.1 Hierarchy of Legal Terms
These Terms of Sale and Service take precedence over all other legal documents, policies, or terms unless explicitly stated otherwise in a specific written agreement signed by both parties. In case of conflict between different legal documents.
2. Services offered
Execorp offers the Exegol Suite through several plans:
Commercial use (i.e., using Exegol as part of your professional activities, in a business or enterprise environment, for internal training or documentation, or as part of your security operations) is allowed for Pro, Team and Enterprise subscription holders.
Any form of commercial exploitation (such as reselling, providing managed services, or repackaging for third parties) is strictly prohibited without a separate written agreement with Execorp. Commercial exploitation is defined in the Exegol Software License (ESL) Section 3.2.2 (https://docs.exegol.com/legal/software-license#_3-2-2-prohibited-commercial-exploitation)
2.1 Community plan
The Community plan is free and intended for non-commercial personal use only. Use of the Community plan is strictly limited to:
- Academic research
- Individual learning
- Participation in cybersecurity competitions (CTF, hackathons)
- Other strictly non-commercial purposes
Commercial use is not permitted under the Community plan.
2.2 Pro plan
The Pro plan is a paid subscription designed for individuals who need to use Exegol in a commercial context.
License limitations:
- A single Pro subscription allows for one or two licenses (i.e., seats)
- Each license permits activation on a single machine
- The number of licenses is defined at the time of purchase and can be modified through the dashboard (dashboard.exegol.com)
- Each account may hold only one Pro subscription, with a maximum of two licenses per account
- To cover more than two seats under one organization, a Team subscription (up to five seats) or an Enterprise subscription is required
- Pro is purchased directly through Execorp’s payment provider (Stripe); it is not sold through the Enterprise procurement process
Permitted use: With a valid Pro subscription, you are permitted to use Exegol in a commercial context, such as:
- Using Exegol as part of your professional activities
- Using Exegol in your business or enterprise environment
- Using Exegol for internal training or documentation
- Using Exegol as part of your security operations
2.3 Team plan
The Team plan is a paid subscription designed for small teams that need commercial use of Exegol with shared seat management.
License limitations:
- A Team subscription includes up to five user seats
- Licenses are floating: they may be assigned and reassigned to users from a centralized organization dashboard (dashboard.exegol.com), subject to any reassignment rules published in the product documentation
- Team includes organization-level license assignment and enrollment, but does not include Enterprise-only features such as subteams and role-based access control (RBAC)
- Team is purchased directly through Execorp’s payment provider (Stripe); purchase orders, reseller agreements, and wire transfer are Enterprise procurement options
- For more than five seats, or for Enterprise-only features and add-ons, an Enterprise subscription is required
Permitted use: Team subscribers have the same commercial use rights as Pro subscribers, with additional flexibility for small-team deployments and floating seat assignment.
2.4 Enterprise plan
The Enterprise plan is a paid subscription designed for businesses and organizations that require:
- More than five seats, or other seat counts agreed with Execorp
- Floating licenses managed from a centralized organization interface
- Subteams and role-based access control (RBAC)
- Priority or dedicated support
- Procurement options (including purchase orders, reseller agreements, and wire transfer where offered)
- Optional add-ons and configurations (for example Exegol Sentinel, extended offline use, bespoke integrations, or professional services), as agreed with Execorp
Enterprise subscriptions may include custom terms and conditions as specified in separate agreements.
Permitted use: Enterprise subscribers have the same commercial use rights as Pro and Team subscribers, with additional flexibility for larger-scale and organization-managed deployments.

2.5 Products of the Exegol Suite
Without limiting the EULA definition of Software, the Exegol Suite includes in particular:
- Exegol Workstation (wrapper, Docker images, scripts, offline resources, and related Workstation components)
- Exegol Studio (IDE extension)
- Exegol MCP
- Exegol Sentinel (Enterprise add-on, where purchased or otherwise made available)
- websites, dashboards, and related services
Access to specific features of each product depends on your plan and any purchased add-ons. Feature matrices published on the pricing pages are descriptive; entitlements are those associated with your account and subscription.
2.6 Exegol Studio
Exegol Studio (publisher / extension ID exegol.studio) is an IDE extension that forms part of the Exegol Suite. Installation from the Visual Studio Marketplace, Open VSX, or an official Execorp VSIX is free for everyone, including Community users. Some features require an active Pro, Team, or Enterprise plan and are gated by Exegol account entitlements (not by a Marketplace purchase). Community use remains non-commercial. Seat limits and the prohibition on commercial exploitation without a separate written agreement with Execorp apply unchanged as set out in these Terms. Exegol Studio is governed by the End User License Agreement (EULA) and these Terms; it is not licensed under the Exegol Software License (ESL).
3. Account creation and security
Users must create an account to access certain services. You must provide accurate information, keep your credentials secure, and assume responsibility for all activities under your account.
Execorp encourages the use of strong passwords and two-factor authentication (2FA). If you suspect a security issue with your account, notify contact@exegol.com immediately.
3.1 Age requirements
Users under the age of 18 may use the Services only with the involvement and supervision of a parent or legal guardian. By using the Services, you confirm that you are at least 18 years old or using the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
Parents or legal guardians are responsible for ensuring minors under their supervision use the Services responsibly and in accordance with all applicable laws and these Terms.
4. Acceptable use
You agree to use the Services lawfully and appropriately. Forbidden actions include (but are not limited to):
- Attempting unauthorized access to systems
- Using the Services to conduct illegal activities
- Attempting to disrupt or overload Exegol systems
- Circumventing any usage restrictions (especially for Community plan users)
Unauthorized vulnerability scanning or penetration testing against Exegol infrastructure is forbidden without prior written consent.
5. Subscription and payment terms
Pricing is dynamically displayed based on your browser's locale settings or Stripe's automatic detection. The actual billing currency and VAT, where applicable, will be clearly indicated at checkout.
Subscriptions are billed via Stripe:
- Monthly or annually, depending on the selected plan
- Automatic renewal unless cancelled before the billing date
VAT is calculated based on your billing address and applicable regulations. Business customers in the EU must provide a valid VAT number if eligible.
If payment fails, Execorp reserves the right to suspend or terminate access to the Services.
Execorp may modify prices, billing models, or features. Changes affecting existing subscriptions will be communicated in advance.
6. Referral program
Execorp may offer a referral program to Pro users. Details, eligibility, and the most current terms of the referral program are described on the dedicated referral page(s). Rewards or discounts for successful referrals are subject to the rules and conditions outlined there.
Execorp reserves the right to modify or discontinue the referral program without notice. Abuse of the program may result in disqualification and account suspension. Rewards are not exchangeable for cash unless explicitly stated.
7. Right of withdrawal
For EU/EEA consumers: By subscribing and accessing digital Services immediately, you acknowledge that you waive your legal right of withdrawal under Article L221-28 of the French Consumer Code.
Execorp reminds users that subscriptions start immediately upon purchase. No "cooling-off" period applies after accessing paid features.
8. Cancellation and termination
You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
Execorp may suspend or terminate accounts:
- For breach of these Terms
- If legally required
- In case of security threats or misuse
Upon termination, you lose access to Services, and no refunds are owed except as required by law.
9. Intellectual property
All software, documentation, trademarks, graphics, and other content related to the Exegol Suite are the property of Execorp or its licensors.
The Exegol software suite is subject to specific licensing terms.
Certain parts of Exegol are open-source and governed by the Exegol Software License (ESL) (https://docs.exegol.com/legal/software-license) and, where applicable, the GNU General Public License version 3 (GPL3). Code released prior to June 5th, 2025 remains under GPL3, while code released since that date may be under either ESL or GPL3.
All non open-source components of Exegol (including proprietary parts of Exegol Workstation, Exegol Studio, Exegol MCP, Exegol Sentinel, and related services) are governed by the End User License Agreement (EULA), which can be found at https://docs.exegol.com/legal/eula.
You receive a personal, limited, non-exclusive, non-transferable license to use the Services, subject to compliance with these Terms and the applicable software licenses. Exceptions for authorized resellers may apply, as specified in separate reseller terms or agreements attached to quotes, invoices, or other relevant documents.
You may not copy, sell, distribute, reverse-engineer, or create derivative works based on the Services without express written permission, except as expressly permitted by the applicable software licenses for open-source components.
Feedback or suggestions you submit may be freely used by Execorp without compensation.
10. Export control compliance
You acknowledge that the Services may be subject to export control laws and regulations. You agree not to export, re-export, or transfer the Services to countries, persons, or entities prohibited under applicable export control laws.
You represent and warrant that:
- You are not located in, under the control of, or a national or resident of any country subject to U.S. or EU embargo, UN sanctions, or other applicable trade sanctions
- You are not on any list of prohibited or restricted parties
- You will not use the Services for any purposes prohibited by applicable export control laws
Execorp reserves the right to refuse service to anyone believed to be in violation of these export control provisions.
11. Security and responsible disclosure
Execorp encourages responsible disclosure of security vulnerabilities. Researchers are invited to report findings to contact@exegol.com as described in our Security Policy (https://docs.exegol.com/legal/security-policy).
Execorp implements industry-standard security practices but does not guarantee absolute security.
12. Privacy and data protection
Execorp processes personal data in compliance with applicable laws, including the GDPR and CCPA where applicable.

12.1 Data breach notification
In the event of a data breach affecting your personal data, Execorp will:
- Notify affected users without undue delay, typically within 72 hours of becoming aware of the breach
- Provide information about the nature of the breach, categories of data concerned, likely consequences, and measures taken
- Communicate through email, account notifications, or other direct means when possible
- Work diligently to mitigate any potential harm and prevent future breaches
13. Disclaimers and limitation of liability
The Services are provided "as is" without warranty of any kind.
Execorp disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Execorp is not liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, goodwill, or other intangible losses
- Unauthorized access or use of your data
Execorp's total liability is limited to the amount you paid for the Services during the twelve (12) months before the event giving rise to the liability. Execorp has no liability toward users of the Community plan.
Certain jurisdictions do not allow limitation of liability; in such cases, minimum liability under applicable law will apply.
14. Changes to services
Execorp may modify, suspend, or discontinue any part of the Services at any time.
When feasible, users will be informed in advance, especially for significant changes affecting paid subscriptions.
If Execorp discontinues a Service entirely, users with active subscriptions may be eligible for a pro-rated refund at Execorp's discretion.
15. Governing law and jurisdiction
These Terms are governed by the laws of France.
Any disputes arising from these Terms or the Services will be submitted to the exclusive jurisdiction of the courts of Paris, France.
15.1 Alternative dispute resolution
Prior to initiating formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may propose mediation through a mutually acceptable mediator.
This alternative dispute resolution provision does not prevent either party from seeking injunctive or other urgent legal relief when necessary to protect its rights.
If mandatory local consumer protection laws apply, they are not affected by this clause.
